Partner Terms & Conditions

Introduction

These Partner Program Terms & Conditions ("Partner Terms") govern your participation in the Right Hook Affiliate Partner Program ("Program"). The Program is operated by Paulius Glavickas, trading as Right Hook, Individual Activity Certificate No. 841455, Republic of Lithuania.

By applying to, joining, or participating in the Program in any way, you ("Partner") agree to be bound by these Partner Terms in full. These Partner Terms are separate from and do not affect the Terms & Conditions applicable to Right Hook's service clients.

If you do not agree to these Partner Terms, do not participate in the Program. Questions can be directed to admin@righthook.ad.

Program Overview

The Right Hook Partner Program is a referral and affiliate program. As a Partner, you introduce potential clients to Right Hook's advertising creative services. When a referred prospect signs a contract with Right Hook as a direct result of your referral, you earn a commission on that client's recurring monthly retainer or project fee, in accordance with your current tier, for as long as that client remains active.

Participation in the Program does not make you an employee, agent, sub-contractor, or legal representative of Right Hook. You are an independent affiliate partner and have no authority to bind Right Hook in any agreement or make representations on our behalf.

Eligibility

To be eligible to join and remain active in the Program, you must:

• Be at least 18 years of age.
• Complete the partner sign-up process and receive written confirmation of acceptance from Right Hook.
• Maintain compliance with these Partner Terms at all times.
• Agree to and abide by the exclusivity obligations set out in the Non-Promotion clause below.

Right Hook reserves the right to accept or decline any application to the Program at its sole discretion, without obligation to provide a reason.

Referral Attribution

Each Partner is assigned a unique affiliate link upon joining the Program. A referral is considered valid and attributable to you when a prospect clicks your unique affiliate link and subsequently signs a contract with Right Hook within 90 days of that first click.

• Attribution is tracked via your unique link. Referrals made without use of your affiliate link (e.g. verbal introductions without link tracking) are not automatically credited and must be agreed upon in writing with Right Hook in advance.
• If a prospect has already been referred by another Partner, or has independently contacted Right Hook prior to your referral, commission eligibility will be determined by Right Hook on a case-by-case basis.
• Right Hook's tracking data shall be the definitive record for all attribution disputes.

Commission Structure & Tiers

Commission rates and monthly bonuses are determined by your Partner tier, which is based on your total cumulative signed referrals. Once a tier is reached, it is permanent — you will not drop to a lower tier. Your new commission rate applies to all future referrals from the date of tier upgrade.

Commission is calculated as a percentage of the net retainer or project fee paid by the referred client to Right Hook, excluding any applicable taxes, third-party fees, or discounts applied. Milestone bonuses (the monthly recurring bonuses listed above) are paid for each month a referred client remains active and in good standing.

Recurring Commissions

Commissions are recurring — you continue to earn on each monthly retainer payment made by a referred client for as long as that client remains active with Right Hook. Recurring commissions cease when:

• The referred client terminates their engagement with Right Hook.
• Right Hook terminates the client's engagement for any reason.
• Your participation in the Program is terminated.
• The client's account becomes overdue or is suspended, for the duration of any such suspension.

Right Hook does not guarantee that any referred client will remain active for any minimum period of time. Average client tenure is provided for illustrative purposes only and does not constitute a commitment.

Payment Terms

Commissions and eligible recurring bonuses are calculated and paid on a monthly basis, within 30 days of the end of each calendar month in which they were earned, provided the referred client's payment has cleared and no disputes or chargebacks are pending.

• Payments are issued via the method agreed upon at sign-up (bank transfer, PayPal, or equivalent).
• Right Hook reserves the right to withhold payment pending verification of a referral's validity.
• Minimum payout threshold is $50. Amounts below this threshold roll over to the following month.
• Partners are solely responsible for any taxes, duties, or levies applicable to their commission income in their jurisdiction.
• Right Hook will not issue commission payments for referrals later determined to be fraudulent, self-referrals, or in breach of these Partner Terms.

Non-Promotion of Competing Agencies

While you are actively participating in the Right Hook Partner Program and promoting Right Hook's services, you agree not to simultaneously promote, advertise, recommend, or publicly endorse any other marketing agency, performance marketing service, or paid advertising creative agency to other businesses, individuals, or prospects.

A breach of this clause entitles Right Hook to immediately suspend or terminate your participation in the Program and withhold any unpaid commissions pending review.

Non-Solicitation

During your participation in the Program and for a period of five (5) years following its conclusion, you agree not to:

• Directly or indirectly solicit, recruit, or hire any member of Right Hook's team (employees, contractors, or freelancers) with whom you came into contact through the Program.
• Encourage or facilitate any such person to leave or reduce their engagement with Right Hook.

A breach of this clause entitles Right Hook to seek compensation equal to six (6) months of the relevant team member's fees as liquidated damages, in addition to any other legal remedies available.

Prohibited Conduct

As a Partner, you agree not to:

• Make false, misleading, or exaggerated claims about Right Hook's services, pricing, or results.
• Use spam, unsolicited messaging, misleading advertising, or deceptive tactics to generate referrals.
• Create self-referrals by signing up as a client using your own affiliate link, or facilitate others in doing so.
• Use Right Hook's name, logo, or trademarks in any way not expressly authorised in writing by Right Hook.
• Refer clients that you know to be in breach of applicable advertising platform policies or applicable law.
• Misrepresent your relationship with Right Hook (e.g. claiming to be an employee, director, or authorised representative).
• Engage in any conduct that damages or could damage the reputation, brand, or business of Right Hook.

Intellectual Property & Brand Use

Right Hook grants you a limited, non-exclusive, revocable licence to use Right Hook's name, approved logo assets, and partner badge solely for the purpose of promoting the Program in a manner consistent with any brand guidelines we provide.

• You may not alter, distort, or combine Right Hook's branding with other brands without written approval.
• This licence terminates automatically upon termination of your Program participation.
• All Right Hook intellectual property remains the exclusive property of Paulius Glavickas / Right Hook.

No Guarantee of Earnings

Right Hook makes no representations or guarantees regarding the amount of commission income you will earn through the Program. Any earnings figures shown on the partner page — including calculator outputs, average earnings, or tier examples — are illustrative only and based on assumptions about client retainer sizes and retention periods that may not reflect your actual experience.

Your commission earnings depend entirely on the number and quality of referrals you generate, factors outside Right Hook's control, and the independent decisions of referred prospects.

Cancellation & Termination

Either party may terminate Program participation by providing 14 days' written notice to the other party via email.

• Right Hook may terminate your participation immediately and without notice for breach of these Partner Terms, fraudulent activity, or conduct deemed harmful to Right Hook's business or reputation.
• Upon termination, your affiliate link will be deactivated and no further referrals will be attributed to you.
• Commissions earned and verified prior to termination will be paid in the next regular payment cycle, unless termination was due to a breach, in which case Right Hook reserves the right to withhold payment pending review.
• Recurring commissions on previously referred clients cease upon termination of your Program participation.

Limitation of Liability

Right Hook's total liability to a Partner for any claim arising out of or in connection with the Program shall not exceed the total commissions paid to that Partner in the three (3) months preceding the event giving rise to the claim.

Right Hook shall not be liable for any indirect, incidental, or consequential loss arising from your participation in or exclusion from the Program, including loss of anticipated commission income.

Amendments

Right Hook reserves the right to modify these Partner Terms, commission rates, tier thresholds, or any aspect of the Program at any time. We will provide reasonable notice of material changes via email to the address on file. Continued participation in the Program following notice of changes constitutes acceptance of the revised terms.

Changes to commission rates or tier structures will apply to new referrals made after the effective date of the change. Commissions already accrued on existing active referrals will not be retroactively reduced without at least 30 days' prior written notice.

Governing Law

These Partner Terms are governed by the laws of the Republic of Lithuania. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Lithuania, unless otherwise required by mandatory applicable law.
